Non-Disclosure Agreement

This Non-Disclosure Agreement (the “Agreement”) is entered into as of [2/9/2023] by and between Premier Economic Solutions LLC, a Florida limited liability company with its principal place of business located at [5151 US HWY 98 N Lakeland FL, 33809] (Referred to as “Premier Economic Solutions LLC” or the “Company”), and all clients accessing the services provided by Premier Economic Solutions LLC through its website (Referred to as “Clients”).

Purpose

The parties desire to explore a potential business relationship (the “Purpose”) whereby the Recipient may be exposed to certain confidential information of the Company.

Definition of Confidential Information

For the purposes of this Agreement, “Confidential Information” shall include all information or material that has or could have commercial value or other utility in the business in which the Company is engaged, including but not limited to:

1. Financial information and data relating to the business operations of Premier Economic Solutions LLC, including but not limited to budgets, financial statements, and forecasts.
2. Client information, including names, contact information, and any other personal or business-related details.
3. Trade secrets, processes, methodologies, and any other proprietary information related to the services provided by Premier Economic Solutions LLC, including bookkeeping, tax services, loan assistance, startup financial aid, and assistance.
4. Any other information that is identified as confidential or proprietary by Premier Economic Solutions LLC.

Non-Disclosure

Recipient agrees that it will not disclose, divulge, or otherwise reveal any Confidential Information to any third party without the prior written consent of the Company.

Use of Confidential Information

Recipient agrees that it will not use any Confidential Information for any purpose other than the Purpose without the prior written consent of the Company.

Protection of Confidential Information

Recipient agrees to take all reasonable precautions to protect the confidentiality of the Confidential Information, including but not limited to implementing safeguards at least as protective as those employed to protect Recipient’s own confidential information.

Exceptions

Recipient’s obligations under this Agreement shall not apply to any Confidential Information that:

1. Is or becomes publicly known through no wrongful act of Recipient.
2. Is rightfully received by Recipient from a third party without any obligation of confidentiality.
3. Is independently developed by the Recipient without reference to the Confidential Information.

Term and Termination

This Agreement shall be effective as of the date first above written and shall continue in full force and effect until [date or event] unless terminated earlier by either party upon written notice.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, USA, without giving effect to any choice of law or conflict of law provisions.

Entire Agreement

This Agreement represents the entire understanding between Premier Economic Solutions LLC and all users of its website and services with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, discussions, or understandings, whether oral or written.

By using the services provided by Premier Economic Solutions LLC, users agree to be bound by the terms of this Agreement.
